Elite Fleet Rewards Program (the “Program”) is brought to you by Cloud Technologies Inc. (or its successors, assigns, or subsidiaries) (collectively “Cloud Technologies Inc.”, “we”, “our”, or “us”). Your participation in the Program is subject to these terms (the “Elite Fleet Rewards Terms”) and conditions as well as the Cloud Technologies Inc. Customer Terms of Service, Privacy Policy, and Elite Fleet Rewards Helpcenter (collectively, the “Program Terms”). In the event of any conflict, inconsistency, or discrepancy between documents comprising the Program Terms, the document with the higher order of precedence shall prevail. In descending order of precedence: (1) Cloud Technologies Inc. Customer Terms of Service (2) Privacy Policy (3) Elite Fleet Rewards Terms (4) Elite Fleet Rewards Helpcenter.
Unless expressly provided otherwise, all references to time shall be to the prevailing local time in San Francisco, California.
By participating in the Program or using any associated program benefits, you are agreeing to the Program Terms.
IF YOU DO NOT AGREE TO THE PROGRAM TERMS, YOU MAY NOT PARTICIPATE IN THE PROGRAM OR USE ITS BENEFITS. INTERPRETATION OF THESE PROGRAM TERMS IS UNDER THE SOLE DISCRETION OF CLOUD TECHNOLOGIES INC AND YOU AGREE TO ACCEPT OUR INTERPRETATIONS AS CONCLUSIVE.
ELIGIBILITY
All participants in the Program are “Program Members”. To participate in the Program, you must (1) have entered into and have an active Lease Agreement (the “Agreement”) as a contractor (a “Contractor”) with CloudTrucks, LLC (2) be in good standing with regards to the “Driver and Safety Compliance” and “Commitment to Performance” clauses of the Agreement (3) not have incurred an “Event of Default” under the Agreement.
All eligible Contractors may be automatically enrolled in the Program. Participation in the Program is voluntary and subject to Program Terms. We reserve the right to change or restrict Program eligibility criteria at any time.
Your rewards program account (“Program Account”) will be automatically associated with your Contractor account and activity associated with your Program Account can be accessed via the CloudTrucks mobile app. You may not share access to your Program Account and you may not have more than one account.
REWARD TIERS / QUALIFYING REQUIREMENTS
There are 4 reward Tiers: Bronze, Silver, Gold, and Platinum (“Tiers”). As ordered, Bronze is the lowest Tier and Platinum is the highest Tier. Higher Tiers have higher Qualifying Requirements (described below). Each Tier unlocks additional perks, discounts, or rewards (“Rewards”) in addition to any Rewards from preceding Tiers. Rewards are regularly posted and updated on the Elite Fleet Rewards Helpcenter.
On the 2nd of each calendar month, we will assess whether Program Members have satisfied ALL the Qualifying Requirements for any Tier. By default, all Program Members qualify for Bronze. If a Program Member is able to meet the Qualifying Requirements for more than one Tier, the Tier reflected in their Program Account shall be the highest ordered Tier. This Tier shall remain in effect until the next assessment (the 2nd day of the following month). We reserve the right to modify a Program Account’s Tier to a higher or lower Tier, at any time, for any reason.
Many, but not all, Qualifying Requirements utilize a lookback window starting from 31 days preceding midnight of the first day of the current assessment month until midnight of the first day of the current assessment month (the “Qualifying Period”). For example - for the Tier’s assessment on 7/2/2025 00:00:00 PDT the Qualifying Period spans the period of time [5/31/2025 00:00:00 PDT, 7/1/2025 00:00:00 PDT).
The following are the Qualifying Requirements used to calculate a Program Account’s Tier. All requirements have to be satisfied to qualify for a given Tier:

Normalized Safety Score - the CT Safety Score for each driver under the Contractor’s account, weighted by Jobs completed for each driver during the Qualifying Period.
- Silver Tier: Normalized Safety Score must be Satisfactory
- Gold Tier: Normalized Safety Score must be Excellent

Platinum Tier: Normalized Safety Score must be Excellent

Normalized On-Time Rate - the CT Performance Score for On-time Rate for each driver under the Contractor’s account, weighted by Jobs completed for each driver during the Qualifying Period.
- Silver Tier: Normalized On-Time Rate must be Satisfactory
- Gold Tier: Normalized On-Time Rate must be Satisfactory

Platinum Tier: Normalized On-Time Rate must be Excellent

Normalized Late Cancellation Rate - the CT Performance Score for Late Cancellation Rate for each driver under the Contractor’s account, weighted by Jobs completed for each driver during the Qualifying Period.
- Silver Tier: Normalized Late Cancellation Rate must be Satisfactory
- Gold Tier: Normalized Late Cancellation Rate must be Satisfactory

Activity - Either (1) Average Jobs Per Driver: (number of completed and paid out Jobs with a delivery date in the Qualifying Period) / (number of drivers under the Contractor’s account). or (2) Average Loaded Miles Per Driver: (sum of loaded miles from completed and paid out Jobs with a delivery date in the Qualifying Period) / (number of drivers under the Contractor’s account).
- Silver Tier: Average Jobs Per Driver >= 6 OR Average Loaded Miles Per Driver >= 3000 miles
- Gold Tier: Average Jobs Per Driver >= 13 OR Average Loaded Miles Per Driver >= 6000 miles
- Platinum Tier: Average Jobs Per Driver >= 20 OR Average Loaded Miles Per Driver >= 9000 miles

Minimum Tenure - days elapsed between a Contractor’s first Job payout and day of assessment.
- Silver Tier: >= 30 days
- Gold Tier: >= 60 days
- Platinum Tier: >= 90 days

Adverse events - Number of driver suspensions due to a safety incident.
- Silver Tier: <= 1 event
- Gold Tier: 0 events
- Platinum Tier: 0 events
ACCOUNT TERMINATION
Cloud Technologies Inc. may suspend, revoke, or terminate your participation in the Program at any time for any reason. Program Accounts terminated for non-compliance with Program Terms, fraudulent, or abusive activity are not eligible for future participation and may not rejoin the Program. Cloud Technologies Inc. reserves the right to seek all remedies available if a Program Member defrauds or abuses the Program.
PROGRAM CHANGES / TERMINATION
The Program may be modified, suspended, or terminated by us, at any time, without notice and further obligations to any Program Members. The Program Terms may be modified by us, at any time, without notice and further obligations to any Program Members. This includes, but is not limited to (1) changes to the number of Tiers (2) qualification requirements for each Tier (3) Rewards associated with each Tier. You agree that any change to the Program Terms will become binding and effective, immediately upon release. By continuing to participate in the Program after changes to the Program Terms you are agreeing to be bound by the updated Program Terms. You further agree to regularly review the Program Terms to remain appraised of any updates.
TRANSFER OF RIGHTS
Rights and obligations under the Program may be assigned or transferred by Cloud Technologies Inc. to any entity at any time, with further performance being the responsibility of that entity.
DISCLAIMER
The Program and/or any of its features may be unavailable, inaccurate or interrupted from time to time for a variety of reasons outside of our control.
WE ARE NOT RESPONSIBLE FOR ANY UNAVAILABILITY, INTERRUPTIONS OR ERRORS OF THE PROGRAM AND/OR ANY OF ITS FEATURES AND/OR ANY REWARDS. WE RESERVE THE RIGHT TO MODIFY, SUSPEND, OR DISCONTINUE THE PROGRAM AT ANY TIME WITHOUT NOTICE.
The Program and all the information accessible through it are provided for informational purposes only on an “as is” and “as available” basis. We, our affiliated entities, third party providers or their agents make no warranties, representations, or guarantees of any kind, express or implied, including not limited to the accuracy, currency, or completeness, the operation of the Program, its information, materials, content, availability, and products. To the fullest extent permitted by applicable law, we disclaim all warranties, express or implied, including but not limited to, implied warranties of merchantability and fitness for a particular purpose.
